Terms of use and acceptable use.

The terms and acceptable-use rules that govern access to the ABI Nexa website, platform and services.

These Terms of Use & Acceptable Use Policy (“Terms”) govern access to and use of the ABINEXA website, platform, applications, software, data, analytics, models, dashboards, research-support tools, AI-enabled functionality and related services (collectively, the “Services”, also referred to as the “Platform”).

The Services are provided by RXSTOX PRIVATE LIMITED, operating under the brand ABINEXA (“ABINEXA”, “we”, “us” or “our”).

By accessing, registering for, subscribing to, or otherwise using the Platform, you acknowledge that you have read, understood and agreed to these Terms. If you do not agree with these Terms, you must not access or use the Platform.

If you are accessing the Platform on behalf of a company, fund, financial institution or other organization, you represent that you have the authority to bind that organization to these Terms. In such circumstances, “you” and “your” shall include that organization.

1. About ABINEXA

ABINEXA provides technology, data, analytics, modelling and research-support tools designed to assist users and organizations with financial analysis, business intelligence, research workflows, modelling, information processing and related activities.

The Platform may include information obtained from publicly available sources, third-party information providers, regulatory filings, company disclosures, market sources, research inputs and other datasets. ABINEXA may also provide analytical outputs, derived information, estimates, summaries or other content generated through technological or analytical processes.

The Platform is intended to assist users in their own research and decision-making. Unless expressly stated otherwise in a separate written agreement, ABINEXA does not provide personalized investment, legal, tax or other professional advice.

ABINEXA’s Services may include financial models, analytical tools, dashboards, scorecards, data visualizations, research-support materials and AI-assisted functionality.

2. Acceptance of Terms

Your access to and use of the Platform constitutes your acceptance of these Terms and any policies, guidelines, product-specific terms or other conditions that ABINEXA may publish or communicate from time to time.

Certain features or Services may be subject to additional terms. Where applicable, those additional terms will form part of these Terms by reference.

If there is a conflict between these Terms and specific terms applicable to a particular Service, the specific terms will govern that Service to the extent of the inconsistency.

3. Eligibility and User Representations

The Services are intended for professional, business and institutional users. You must be legally capable of entering into a binding agreement to use the Services.

If you are using the Services on behalf of an organization, you confirm that:

  • you are authorized to accept these Terms on its behalf;
  • the organization has the authority to enter into these Terms;
  • all information supplied during registration is accurate and complete; and
  • your use of the Services complies with applicable laws, regulations and internal policies.

You may not use the Services where such use is prohibited by applicable law.

4. Permitted Use

Subject to these Terms and any applicable subscription or commercial arrangement, you may use the Services solely for lawful business or professional purposes for which they are made available to you.

ABINEXA grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to access and use the Services for those purposes, within the usage limits and permissions applicable to your subscription.

You must:

  • provide accurate information where required;
  • maintain the confidentiality of your account credentials;
  • use the Services only for authorized purposes;
  • comply with applicable laws and regulations;
  • respect the intellectual property and rights of ABINEXA and third parties; and
  • ensure that persons accessing the Services through your account are authorized to do so.

5. Accounts and Access

Certain Services may require registration or an account.

You must provide accurate, current and complete information when creating or maintaining an account and promptly update such information where necessary.

You are responsible for maintaining the confidentiality of your login credentials and for activities conducted through your account.

You must promptly notify ABINEXA if you become aware of unauthorized access, compromised credentials or suspected misuse of your account.

You must not share, transfer, sell, sublicense or otherwise provide individual user credentials to another person except where expressly permitted by the applicable subscription or commercial arrangement.

Where access is provided under an institutional or enterprise subscription, the enterprise customer must:

  • restrict access to authorized personnel;
  • maintain appropriate internal access controls;
  • promptly disable accounts belonging to users who no longer require access;
  • prevent credential sharing; and
  • not permit a greater number of users to access the Services than permitted under its subscription or agreement.

Where an enterprise customer provides access to its employees, contractors, consultants or other representatives, the customer is responsible for ensuring that those individuals understand and comply with these Terms, and may be held responsible for misuse of the Services by its authorized users to the extent provided in the applicable agreement.

6. Customer Information and Uploaded Content

The Services may allow users to upload or submit financial models, spreadsheets, presentations, reports, research materials, datasets, documents, instructions, prompts and other information (“Customer Data”).

You retain your ownership rights in Customer Data.

You represent that you have all necessary rights, permissions and authority to provide Customer Data to ABINEXA and that doing so does not violate any law, contract, confidentiality obligation or third-party right.

You grant ABINEXA only those rights reasonably necessary to host, process, analyze, transmit, display and otherwise provide, maintain and secure the Services for you, provide support and comply with applicable law.

ABINEXA does not use Customer Data, including customer-uploaded financial models, documents, prompts or confidential information, to train any AI or machine-learning models, including general-purpose or foundation models.

You must not knowingly upload:

  • information you are prohibited from disclosing;
  • information obtained unlawfully;
  • information subject to confidentiality restrictions that do not permit the intended processing;
  • malicious code or information intended to compromise ABINEXA; or
  • personal data that you are not legally entitled to provide.

You are responsible for Customer Data, queries, instructions and other materials submitted by you or your authorized users. How ABINEXA handles Customer Data is further described in the AI & Customer Data Commitment and, where applicable, the Data Processing Addendum.

7. ABINEXA Materials

Subject to these Terms, ABINEXA and its licensors retain all rights, title and interest in its software, platform, technology, methodologies, interfaces, databases, designs, proprietary datasets, documentation, trademarks, logos, research formats, compilations of information, algorithms and other materials developed or provided by ABINEXA, including the financial information, market data, research and analytical content made available through the Services (“ABINEXA Materials”).

Except as expressly permitted, you may not reproduce, distribute, commercially exploit, sell, license, publish or otherwise make ABINEXA Materials available to third parties.

Except for the limited access rights expressly granted under these Terms, no ownership interest or other intellectual property right is transferred to you. In particular, unless expressly authorized in writing, you may not:

  • reproduce, copy or store substantial portions of ABINEXA Materials outside the functionality expressly provided by the Services;
  • publish or publicly display ABINEXA Materials or ABINEXA research;
  • sell, resell, license, sublicense, distribute or commercially exploit ABINEXA Materials outside the permitted use case;
  • create derivative databases or products from ABINEXA Materials;
  • make ABINEXA Materials or outputs available to unauthorized third parties; or
  • remove copyright, trademark, attribution or other proprietary notices.

Limited internal sharing within an enterprise customer’s authorized organization may be permitted where expressly allowed under the applicable subscription. Where the Services provide functionality to download, export or otherwise use specific information, such use remains subject to these Terms and any additional restrictions applicable to that information, including restrictions imposed by third-party providers.

8. Research, Analytics and AI-Assisted Outputs

The Services may generate or provide financial analyses, estimates, forecasts, rankings, scores, classifications, summaries, models, visualizations and other analytical outputs.

Such outputs are provided as analytical and research-support tools and are not intended to constitute personalized investment advice or a recommendation to buy, sell or hold any security or financial instrument.

AI-generated or AI-assisted outputs may contain errors, omissions or inaccurate conclusions and should be independently reviewed and validated before being relied upon.

Additional provisions relating to such outputs are set out in the Research, Models & AI Disclaimer.

9. Acceptable Use

You must use the Services responsibly and lawfully.

You must not use the Services to:

  • violate any applicable law, regulation, sanctions, court order or regulatory requirement;
  • commit fraud, deception or other unlawful activity;
  • infringe intellectual property, privacy or other rights;
  • gain unauthorized access to systems, data or another user’s account or credentials;
  • circumvent authentication, security or access controls, subscription restrictions, user limits or rate limits;
  • introduce malware, viruses or other harmful code;
  • interfere with the security, integrity or availability of the Services;
  • conduct denial-of-service attacks or other disruptive activity;
  • attempt to probe, scan or test vulnerabilities without prior written authorization;
  • exploit vulnerabilities for unauthorized purposes;
  • reverse engineer, decompile or disassemble the Services except to the extent expressly permitted by applicable law;
  • scrape, crawl or systematically extract ABINEXA data or content except where expressly authorized;
  • use automated means to circumvent usage limits or access restrictions;
  • create a competing product or service based substantially on ABINEXA’s proprietary technology, content or data;
  • redistribute ABINEXA research, data or analytical outputs in a manner that violates applicable rights or contractual restrictions;
  • manipulate financial markets or facilitate unlawful trading activity;
  • impersonate another person or organization;
  • transmit unlawful, fraudulent, defamatory, harmful or infringing material;
  • use the Services in any manner that would cause ABINEXA to violate applicable law;
  • place unreasonable load on infrastructure, degrade service performance, consume resources beyond agreed limits or otherwise adversely affect other users or the availability of the Services;
  • upload content that you do not have the right to provide to ABINEXA; or
  • attempt to discover or extract source code, proprietary models, system prompts or other non-public technology.

Where ABINEXA identifies abnormal or excessive usage, it may investigate and, where reasonably necessary, temporarily restrict access while the matter is assessed. Any use outside the scope permitted by these Terms may result in suspension or termination of access.

10. Scraping and Automated Access

Unauthorized scraping, crawling, harvesting, bulk downloading or systematic extraction of content or data from the Services is prohibited.

ABINEXA may implement technical measures to detect or restrict automated access.

Unless expressly authorized in writing by ABINEXA, you must not use bots, spiders, scripts or other automated processes to crawl the Services, systematically query the Services for data extraction, create automated copies of databases or otherwise circumvent technical controls designed to regulate access.

API access, where offered, must be used only in accordance with the applicable API documentation, subscription and usage restrictions.

11. Competitive Use

You may not use the Services, ABINEXA Materials or non-public information obtained through the Services to develop, train, benchmark or operate a substantially competing service without ABINEXA’s prior written permission.

Without limitation, you must not use the Services to:

  • develop a competing financial-data platform or research database;
  • replicate substantial ABINEXA functionality;
  • reverse engineer the commercial or technical architecture of the Services; or
  • systematically reproduce ABINEXA’s research or analytical methodologies.

This restriction does not prevent legitimate internal evaluation of ABINEXA or ordinary competitive analysis unrelated to replication of the Services.

12. AI Use

Where AI functionality is incorporated into the Services:

  • outputs may be probabilistic and may contain errors;
  • outputs may not reflect the most recent information available, and similar inputs may produce different outputs;
  • outputs should not be treated as authoritative merely because they are presented by an AI system;
  • users remain responsible for reviewing and validating material outputs;
  • AI outputs should not be used as the sole basis for investment, legal, tax, accounting, regulatory or other high-consequence decisions; and
  • Customer Data will not be used by ABINEXA to train AI or machine-learning models.

You must not use the Services to:

  • circumvent AI-related usage restrictions;
  • attempt to extract or reproduce underlying AI models, or conduct model-extraction attacks;
  • use automated systems to overwhelm AI functionality;
  • submit unlawful or harmful content or use outputs to facilitate unlawful activity; or
  • attempt to identify confidential information belonging to another customer.

13. Financial and Investment Use

ABINEXA provides technology, data, analytics, modelling and research-support tools.

Outputs and other materials generated or made available through the Services are intended to support users’ own analysis and decision-making and are not intended to constitute personalized investment advice or a recommendation to buy, sell or hold any security or financial instrument.

Nothing made available through the Services constitutes, or should be interpreted as, personalized investment advice, portfolio management advice, an offer or solicitation to purchase or sell securities, or legal, tax, accounting or any other form of regulated professional advice, unless expressly stated otherwise under a separate written arrangement with ABINEXA and permitted under applicable law.

Users remain responsible for their own investment decisions, due diligence, regulatory obligations and professional judgement.

You must not represent ABINEXA outputs as guaranteed investment outcomes or as personalized advice. Enterprise customers remain responsible for validating information, conducting appropriate due diligence, complying with internal investment policies and applicable securities and financial regulations, and ensuring that decisions are made by appropriately authorized personnel.

The Services should not be used as the sole basis for material investment or financial decisions without appropriate independent review. Any investment or business decision based on information obtained through the Services is made entirely at your own risk.

14. Market Abuse and Unlawful Financial Activity

You must not use the Services to facilitate:

  • insider trading or the unlawful disclosure of inside information;
  • market manipulation or fraudulent trading;
  • sanctions evasion;
  • money laundering or terrorist financing; or
  • any other unlawful financial-market activity.

You are solely responsible for ensuring that your use of the Services complies with the laws and regulations applicable to your business and jurisdiction.

15. High-Risk or Sensitive Use

Unless expressly agreed in writing, the Services should not be used as the sole automated decision-making mechanism for decisions that could materially affect an individual’s legal rights, employment, access to financial services or other protected interests.

You must maintain appropriate human oversight where required by applicable law or internal governance policies.

16. Data Accuracy and Third-Party Information

Information made available through the Services may originate from public sources, third-party data providers, client-provided information, company disclosures, financial statements, market data or other sources.

While ABINEXA seeks to use reasonable care in preparing and presenting information, financial and market information can change rapidly and may contain errors, omissions, delays or inconsistencies.

ABINEXA does not guarantee that all such information is complete, current, accurate, error-free or suitable for any particular purpose.

Users should independently verify information that is material to their decisions.

17. Third-Party Services

The Services may integrate with or rely upon third-party services, platforms, data providers, cloud infrastructure or other technologies.

ABINEXA is not responsible for the availability, accuracy or performance of third-party services except to the extent expressly provided in a written agreement.

Third-party information and services may be subject to separate terms, licenses and restrictions imposed by the relevant provider, and your use of them may be subject to those additional terms.

18. Aggregated and Anonymized Data

ABINEXA may generate aggregated, statistical or anonymized information from the use of the Services, provided that such information does not reasonably identify an individual user or customer or disclose confidential information or Customer Data.

Such information may be used for legitimate business purposes, including improving the Services, analyzing usage trends, monitoring performance and security, and developing new features. Aggregated or anonymized information derived from Customer Data will not be used to train AI or machine-learning models.

19. Subscriptions and Paid Services

Certain features of the Services may require payment. Pricing, subscription periods, user limits, data access, usage limits and other commercial terms may be communicated through the Services, an order form, proposal, subscription agreement or other written arrangement.

Unless otherwise agreed in writing:

  • fees are payable in accordance with the applicable commercial terms;
  • taxes, duties and governmental charges applicable to the Services may be charged in addition to the stated fees;
  • subscription access may be subject to applicable usage limits;
  • fees already paid are non-refundable except where expressly stated otherwise or required by applicable law; and
  • failure to make payment when due may result in suspension or termination of access.

Where the Services are provided under a separate commercial agreement, the payment and commercial provisions of that agreement will apply in the event of any inconsistency.

20. Free Trials, Demonstrations and Beta Features

ABINEXA may make certain features available on a trial, demonstration, beta or pre-release basis. Such features may be modified, restricted or discontinued at any time, may not operate without interruption or error and, unless expressly agreed otherwise, are provided on an “as available” basis and may be subject to additional conditions.

21. Security

You must not undertake activities that compromise or attempt to compromise the security of the Services.

ABINEXA may take reasonable technical and organizational measures to protect the Services and information processed through them.

ABINEXA may monitor technical and usage information to the extent reasonably necessary for security, fraud prevention, service administration, compliance and enforcement. Nothing in these Terms obliges ABINEXA to monitor every activity or content transmitted through the Services.

You must not conduct penetration testing, vulnerability scanning, load testing, stress testing or other security testing against the Services without prior written authorization from ABINEXA. Requests for authorized security testing should be submitted to info@abinexa.com, and ABINEXA may specify testing parameters and conditions before granting permission.

22. Reporting Violations

You should promptly notify ABINEXA at info@abinexa.com if you become aware of unauthorized access, credential compromise, suspected data leakage, security vulnerabilities, misuse of the Services, infringement involving ABINEXA or other significant violations of these Terms.

23. Confidentiality

Where ABINEXA provides access to non-public information, research, datasets or other confidential material under a separate agreement, the confidentiality obligations contained in that agreement will apply.

You must take reasonable precautions to protect confidential information belonging to you or third parties, and must not disclose confidential or proprietary information obtained through the Services to unauthorized persons, whether through shared accounts, public links, unsecured exports, screenshots, copied reports or other uncontrolled distribution channels.

24. Privacy

Your use of the Services is also governed by ABINEXA’s Privacy & Cookie Policy.

You must use the Services in accordance with applicable privacy and data-protection laws. Where Customer Data contains personal data, you must have an appropriate legal basis and the necessary authority to provide that data to ABINEXA. Where applicable, processing of personal data contained in Customer Data on behalf of an enterprise customer is governed by the ABINEXA Data Processing Addendum.

25. Export Controls and Sanctions

You must comply with applicable export-control, trade-sanction and economic-sanction laws and must not use the Services in violation of applicable sanctions or provide access to persons or entities subject to applicable restrictions.

ABINEXA may restrict access where necessary to comply with applicable sanctions, export-control, licensing or other legal requirements.

26. Suspension and Termination

ABINEXA may suspend, restrict or terminate access to all or part of the Services where reasonably necessary to:

  • protect the Services or other users;
  • investigate suspected misuse;
  • address security threats;
  • comply with law or regulatory requirements;
  • prevent unauthorized access;
  • address a material violation of these Terms;
  • address a security, legal or operational risk or protect the legitimate interests of ABINEXA;
  • address non-payment of amounts due under applicable commercial terms; or
  • address fraudulent or unlawful use of an account.

Where reasonably practicable, ABINEXA will seek to provide notice before suspension unless immediate action is necessary.

Depending on the nature, severity and potential impact of a violation, ABINEXA may take proportionate measures, including requesting corrective action, issuing a warning, restricting particular functionality, disabling affected accounts or requiring additional security measures. Where appropriate and reasonably practicable, ABINEXA may provide an opportunity to remedy a breach before terminating access.

You may stop using the Services at any time, subject to any applicable subscription or contractual commitments.

Provisions that by their nature are intended to survive termination, including those relating to intellectual property, confidentiality, disclaimers, limitation of liability, indemnification and dispute resolution, will survive termination or suspension.

27. Effect of Termination

Upon termination of your access, your right to use the Services will immediately cease, and any rights or licenses granted to you under these Terms will automatically end unless expressly stated otherwise.

ABINEXA may deactivate or delete your account and associated information in accordance with its policies, the applicable agreement and applicable law. You remain responsible for any outstanding fees or obligations incurred before termination.

28. Disclaimers

To the maximum extent permitted by applicable law, the Services and ABINEXA Materials are provided on an “as is” and “as available” basis.

ABINEXA does not warrant that the Services will always be available, uninterrupted, secure or error-free, that information available through the Services will always be accurate, complete or current, that the Services will meet your particular requirements, or that any analytical or automated output will produce a particular result.

Financial markets and the information relating to them are inherently dynamic. Historical performance, estimates, projections, forecasts and other analytical information are not guarantees of future results. You are responsible for conducting your own verification and due diligence before relying upon information obtained through the Services.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

29. Limitation of Liability

To the maximum extent permitted by applicable law, ABINEXA and its directors, officers, employees, affiliates, contractors, licensors and service providers will not be liable for any indirect, incidental, consequential, special, exemplary or punitive losses, or for any loss of profits, revenue, business opportunity, data, goodwill or business interruption, arising out of or relating to your use of, or inability to use, the Services.

ABINEXA shall not be responsible for losses resulting from investment, trading, business or other decisions made on the basis of information or outputs provided through the Services.

To the extent permitted by applicable law:

  • where you access the Services free of charge or on a trial, demonstration or beta basis, ABINEXA shall have no liability to you arising out of or relating to the Services or these Terms; and
  • for paid Services, ABINEXA’s total aggregate liability arising out of or relating to the Services or these Terms shall not exceed the fees actually paid by you to ABINEXA for the relevant Services for the one (1) month immediately preceding the event giving rise to the claim.

The limitations in this section do not apply to liability arising from ABINEXA’s fraud or willful misconduct.

Nothing in these Terms limits liability to the extent such limitation is prohibited by applicable law.

Any specific contractual liability arrangements agreed with an enterprise customer will be governed by the applicable written agreement.

30. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless ABINEXA and its directors, officers, employees, affiliates, contractors and representatives from claims, losses, liabilities, damages, costs and reasonable expenses arising out of or relating to:

  • your breach of these Terms;
  • your misuse of the Services;
  • your violation of applicable law;
  • your infringement of any third-party intellectual property or other rights; or
  • Customer Data submitted by you or your authorized users.

31. Changes to the Services and Terms

ABINEXA may modify, enhance, suspend or discontinue aspects of the Services from time to time.

ABINEXA may introduce usage limits, technical restrictions or eligibility requirements for particular features or subscription plans. Nothing in these Terms obliges ABINEXA to maintain any particular feature, dataset, functionality or level of availability indefinitely.

Access may occasionally be affected by maintenance, upgrades, technical failures, telecommunications or internet disruptions, cybersecurity incidents, third-party service interruptions, regulatory requirements or circumstances outside ABINEXA’s reasonable control. Where reasonably practicable, ABINEXA may provide advance notice of material changes that substantially affect your use of a paid Service.

We may update these Terms when reasonably necessary to reflect changes in the Services, applicable laws, security threats, business practices or other relevant circumstances. The updated version will be posted on the website with a revised “Last Updated” date.

Where changes are material, ABINEXA may provide reasonable notice through the Services, email or other appropriate means.

Your continued use of the Services following publication of updated Terms constitutes acceptance of the updated Terms, to the extent permitted by applicable law.

32. Governing Law and Jurisdiction

These Terms and your use of the Services shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles that would require the application of the laws of another jurisdiction.

Any dispute, controversy or claim arising out of or relating to these Terms or your use of the Services shall first be attempted to be resolved through good-faith discussions between the parties.

If the dispute cannot be resolved amicably within a reasonable period, then, subject to the provisions below, the courts located in Mumbai, Maharashtra, India shall have exclusive jurisdiction over disputes arising out of or relating to these Terms, the Services or your use of the Services.

Nothing in this section is intended to exclude or limit any mandatory rights, protections or remedies that cannot lawfully be excluded or limited under the laws applicable to you.

If you access or use the Services from outside India, you are responsible for ensuring that your use of the Services is lawful in your jurisdiction.

For enterprise customers, ABINEXA and the customer may agree to different governing-law, jurisdiction or dispute-resolution provisions in a separately executed written agreement. In the event of a conflict between such agreement and these Terms, the separately executed agreement will prevail for that customer to the extent expressly provided.

33. International Users

ABINEXA is based in India and provides its Services to users and organizations internationally.

By using the Services from outside India, you acknowledge that information may be processed in India and/or in other jurisdictions where ABINEXA or its service providers operate, subject to applicable data-protection requirements and ABINEXA’s Privacy & Cookie Policy.

Users are responsible for complying with applicable local laws governing their access to and use of the Services.

Where particular data, information or functionality is subject to geographic, regulatory, licensing or other restrictions, ABINEXA may restrict access accordingly.

34. Assignment

You may not assign, transfer or delegate your rights or obligations under these Terms without the prior written consent of ABINEXA.

ABINEXA may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, restructuring, sale of assets or other corporate transaction, or to an affiliate or successor entity, subject to applicable law.

35. No Waiver

A failure by ABINEXA to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision or any other provision in the future.

A waiver will be effective only if expressly made in writing.

36. Severability

If any provision of these Terms is determined to be unlawful, invalid or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in effect.

37. Entire Agreement

These Terms, together with the Privacy & Cookie Policy, Research, Models & AI Disclaimer, AI & Customer Data Commitment, any applicable Data Processing Addendum, subscription terms or order forms, and any other documents expressly incorporated by reference, constitute the terms governing general use of the Services.

They supersede prior discussions or understandings relating to the same subject matter, except to the extent that a separate written agreement expressly governs the relevant Services.

For enterprise customers, these website terms may be supplemented or replaced by separately executed contractual terms.

If there is a conflict between these Terms and a negotiated enterprise agreement, the negotiated enterprise agreement will prevail to the extent of the conflict. Mandatory requirements of applicable law will prevail over conflicting contractual provisions to the extent required by law.

38. Acknowledgement

By accessing or using the Services, you acknowledge that:

  • you have read and understood these Terms and agree to be legally bound by them;
  • information and analytical outputs available through the Services may contain errors or omissions;
  • you will independently evaluate information before relying upon it; and
