Materials generated or made available through the ABINEXA platform and related services, including research materials, financial models, analyses, reports, dashboards, scorecards, rankings, estimates, forecasts, scenarios, valuation outputs, data visualizations and AI-generated or AI-assisted outputs (collectively, “Materials”), are provided solely as analytical, informational and working materials for the use of the relevant client and its authorized users, to support their own analysis and decision-making.
The Materials are not intended to constitute personalized investment advice or a recommendation to buy, sell or hold any security or financial instrument, and shall not be construed as investment research or as a solicitation, offer or invitation to buy, sell, subscribe for, hold or otherwise transact in any security, financial instrument, investment product or other asset.
1. Analytical and Working Materials
The Materials are provided as analytical, informational and research-support tools.
They may be used by clients and authorized users as working materials in connection with their own research, analysis, due diligence and decision-making processes.
They may form part of a client’s internal working papers, analytical workflow, due diligence process, investment process or other business activities, and should not be treated as a recommendation or endorsement by ABINEXA of any particular security, issuer, transaction, investment strategy, asset class or investment decision.
The Materials should not be regarded as a substitute for independent professional judgement, due diligence or advice from an appropriately qualified professional.
2. No Investment Recommendation
Nothing contained in the Materials constitutes:
- a recommendation to buy, sell or hold a security;
- personalized investment advice;
- a solicitation or offer to purchase or sell a financial instrument;
- a determination of suitability or appropriateness;

ABINEXA is intended for professional and institutional users. 4. ABINEXA AI Scorecard
The ABINEXA AI Scorecard is an analytical framework intended to assist users in evaluating and comparing information.
A score, ranking, classification or assessment produced by the AI Scorecard:
- is an analytical output of the relevant methodology;
- may depend on the data, assumptions and methodology used;
- may change as underlying information changes;
- may contain errors or omissions; and
- should be independently reviewed before being used in any consequential decision.
The ABINEXA AI Scorecard is not intended to constitute a regulated securities rating, credit rating, investment rating, investment recommendation, professional opinion, assurance, certification or prediction of future investment performance, unless expressly stated otherwise in writing and permitted under applicable law.
The same applies to any other score, ranking, rating or classification contained in the Materials, which is a methodological or analytical output of the relevant model or framework.
5. AI-Generated and AI-Assisted Content
AI systems can generate incorrect, incomplete, outdated, inconsistent or misleading information and inappropriate inferences.
AI-generated outputs may appear authoritative even when they are incorrect.
Users should independently verify material information and conclusions before relying upon them.
AI outputs should be independently reviewed and validated by appropriately qualified personnel before being used in any material investment, financial, regulatory, legal, accounting or business decision.
AI outputs should not be used as the sole basis for investment, legal, tax, accounting, regulatory or other high-consequence decisions.
6. Financial Models
Financial models may incorporate assumptions, estimates, forecasts, historical information, management guidance, consensus estimates, market data and other inputs.
Model outputs may depend upon assumptions relating to revenue growth, margins, costs, capital expenditure, working capital, interest rates, foreign exchange rates, commodity prices, market conditions, valuation multiples, economic conditions and other variables.
Changes in assumptions or underlying data can materially affect results.
Model outputs are illustrative and analytical and do not guarantee actual future performance or outcomes.
7. Forecasts and Forward-Looking Information
Forecasts, projections and estimates are inherently uncertain.
Actual results may differ materially from projected or estimated results.

Third-party information may be subject to limitations, licensing restrictions, reporting errors, delays, revisions or differences in methodology. Users should independently verify material information before relying upon it for any investment or other consequential decision.
10. User Responsibility
Users are responsible for independently evaluating the Materials and determining whether and how they should be used.
Any investment, trading, portfolio, financing or other financial decision remains solely the responsibility of the person or organization making that decision.
No investment decision should be made solely or principally on the basis of the Materials. The client is responsible for applying its own professional judgement, investment policies, risk controls, compliance procedures, suitability assessments, due diligence and other applicable decision-making processes before acting upon any information, analysis, model output, score, ranking or other result.
11. Client Review and Validation
The client is expected to review and validate the Materials before using them in any investment, transaction, regulatory filing, investor communication, client communication or other external-facing context. In particular, users should independently assess:
- the underlying data and sources;
- assumptions and methodologies;
- model logic and calculations;
- valuation methodologies;
- forecast periods and scenarios;
- AI-generated conclusions and scores;
- the relevance and timeliness of information; and
- the applicability of the analysis to the specific decision being considered.
12. No Professional Advice
The Materials do not constitute legal, tax, accounting, audit, compliance, regulatory or other professional advice.
Users should obtain advice from appropriately qualified professionals where required.
13. No Third-Party Reliance
The Materials are intended for the relevant user or client and its authorized personnel.
ABINEXA does not assume responsibility for decisions made by unauthorized third parties who obtain or rely upon the Materials.
Unless expressly authorized by ABINEXA in writing, the Materials must not be distributed, reproduced, published, quoted, transmitted or otherwise made available to third parties for the purpose of influencing an investment decision. Any unauthorized third-party reliance is entirely at that party’s own risk.
14. Regulatory and Jurisdictional Considerations
Financial services and investment-related activities are regulated differently across jurisdictions.
Users are responsible for ensuring that their use of the Materials and any resulting activities comply with the laws, regulations and professional requirements applicable to them.
Unless expressly stated otherwise in writing, ABINEXA is not acting as an investment adviser, portfolio manager, broker, dealer, stockbroker, merchant banker, research analyst, credit rating agency, investment manager or other regulated financial intermediary or professional in connection with the Materials.
ABINEXA’s provision of technology, data, analytics and research-support tools does not, by itself, constitute a representation that ABINEXA is authorized, licensed or registered to provide a regulated financial service in any particular jurisdiction merely because the Materials contain financial information, analysis, scores, forecasts or other investment-related content.
The availability of the Materials to users in a particular jurisdiction does not constitute a representation that the Materials or ABINEXA’s services are intended for, or compliant with, every regulatory regime applicable in that jurisdiction. Clients and users are responsible for determining whether their receipt, use, distribution or reliance upon the Materials is permitted under the laws, regulations and professional requirements applicable to them.
15. No Fiduciary or Professional Relationship
Unless expressly agreed otherwise in a separate written agreement, provision of the Materials does not create a fiduciary, advisory, agency, trustee, portfolio-management or other relationship in which ABINEXA assumes responsibility for the client’s investment decisions. ABINEXA’s role is limited to providing the agreed analytical, technological, data, modelling or research-support services.
16. Limitation of Reliance
To the maximum extent permitted by applicable law, ABINEXA shall not be responsible for any investment loss, trading loss, loss of opportunity, diminution in value or other loss arising from any investment or other decision made by a client, user or third party based upon or purportedly based upon the Materials.
The Materials are intended to assist analysis, not replace independent judgement, due diligence, regulatory compliance procedures or professional advice.
17. Priority of Contractual Terms
This Disclaimer should be read together with the ABINEXA Terms of Use & Acceptable Use Policy, the AI & Customer Data Commitment and any client agreement, statement of work, order form, Data Processing Addendum or other written agreement governing the relevant services.
Where there is a conflict between this Disclaimer and a separately executed written agreement, the terms of that agreement shall prevail to the extent of the conflict.
18. Acceptance
By accessing or using the Materials, the user acknowledges and agrees that the Materials are intended as analytical and working materials and that the user is responsible for exercising independent judgement and obtaining appropriate professional advice before making any investment or other consequential decision.
